Welcome to the JADÉ Complexions Affiliate Program (the "Program"), an exclusive, invite-only network designed to partner with individuals and entities who share our passion for holistic-clinical skincare and align with our brand values. By accepting an invitation to join, or participating in, the JADÉ Complexions Affiliate Program, you ("Affiliate" or "You") agree to be bound by the following Terms and Conditions ("Agreement"). This Agreement is between You and JADÉ Complexions ("Company," "We," "Us," or "Our").

1. Program Overview & Invitation The JADÉ Complexions Affiliate Program is an invite-only program. Participation is solely at the discretion of JADÉ Complexions.  No general application process exists. Invitations are extended to individuals and entities who meet our criteria for quality content creation, audience engagement, and brand alignment. Acceptance of an invitation constitutes your agreement to these terms.

2. Affiliate Responsibilities & Conduct - Authentic Promotion: Affiliates agree to promote JADÉ Complexions products and services in an authentic, ethical, and legal manner that reflects positively on the JADÉ Complexions brand. Prohibited Activities: You agree NOT to: Engage in any form of spamming (email, social media, comments, etc.). Make any false, misleading, or deceptive claims about JADÉ Complexions products or services. Engage in any illegal, unethical, or otherwise objectionable activities. Bid on JADÉ Complexions brand keywords (e.g., "JADÉ Complexions," "JADÉ Complexions Skincare") or variations thereof in search engine marketing (SEM) campaigns. Use your own referral link for personal purchases (unless explicitly permitted in writing by JADÉ Complexions). Generate fraudulent or artificial referrals or sales. Promote JADÉ Complexions on websites or platforms containing objectionable content (e.g., pornography, hate speech, illegal activities). Modify any JADÉ Complexions creative assets without explicit written permission. Required Disclosure: Affiliates MUST clearly and conspicuously disclose their affiliate relationship with JADÉ Complexions in all promotional content. Examples of acceptable disclosures include: "#ad" or "#sponsored" "This post contains affiliate links." "I earn a commission if you purchase through my link." "This is a paid partnership with JADÉ Complexions." Compliance: Affiliates are responsible for complying with all applicable laws, regulations, and guidelines, including but not limited to FTC guidelines concerning endorsements and testimonials.

3. Referral Tracking & Commissions - Tracking: Referrals will be tracked using unique referral links provided by JADÉ Complexions (via Referral Candy). Cookie Duration: Commissions are typically tracked using a 30-day cookie window. A sale must occur within this window after the customer clicks your referral link to be attributed to you. Qualified Referrals: A "Qualified Referral" means a new customer who completes a legitimate purchase of JADÉ Complexions products via your unique referral link, that is not returned, refunded, or cancelled. Commission Rate: Affiliates will earn a commission of 15% of the net sale value (excluding taxes, shipping, discounts, and returns) for each Qualified Referral.  Exclusions: Commissions are not earned on returned, refunded, or cancelled orders, or on sales where the referral link was not properly used or tracked. JADÉ Complexions reserves the right to withhold or reverse commissions for fraudulent activity.

4. Payouts - Payment Schedule: Commissions will be paid monthly. Minimum Threshold: A minimum accumulated commission balance of $50 is required for payout. If the threshold is not met, the balance will carry over to the next payout period. Payment Method: Payouts will be made via PayPal. Affiliates are responsible for ensuring accurate payment information. Taxes: Affiliates are independent contractors and are solely responsible for all taxes applicable to commissions earned. JADÉ Complexions may require tax information for tax reporting purposes.

5. Intellectual Property JADÉ Complexions grants you a limited, non-exclusive, non-transferable, revocable license to use our trademarks, logos, product images, and other approved creative assets (collectively, "Company IP") solely for the purpose of promoting JADÉ Complexions within the scope of this Program. You agree not to alter, modify, or misuse the Company IP. All goodwill generated from the use of Company IP shall inure to the benefit of JADÉ Complexions. This Agreement does not grant you any ownership rights in the Company IP.

6. Termination - By Either Party: Either party may terminate this Agreement at any time, with or without cause, by providing 7 days written notice. Immediate Termination by JADÉ Complexions: JADÉ Complexions reserves the right to terminate this Agreement immediately, without prior notice, in the event of a breach of any terms herein, fraudulent activity, spamming, non-disclosure, or any other conduct deemed harmful to JADÉ Complexions. Effect of Termination: Upon termination, all rights and licenses granted to you hereunder shall immediately cease. Any earned but unpaid commissions for Qualified Referrals prior to the effective date of termination will be paid out according to the standard payout schedule, provided no breach occurred. JADÉ Complexions reserves the right to withhold any remaining commissions if the termination is due to a material breach of this Agreement.

7. Relationship of Parties You and JADÉ Complexions are independent contractors. Nothing in this Agreement shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and JADÉ Complexions. You have no authority to make or accept any offers or representations on behalf of JADÉ Complexions.

8. Limitation of Liability & Indemnification JADÉ Complexions shall not be liable for any indirect, incidental, punitive, or consequential damages arising out of or in connection with the Program. You agree to indemnify, defend, and hold harmless JADÉ Complexions, its directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising from your participation in the Program or any breach of this Agreement.

9. Governing Law & Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Los Angeles, California.

10. Modifications JADÉ Complexions reserves the right to modify any of the terms and conditions in this Agreement at any time. We will notify affiliates of such changes via email or by posting an updated version on this page. Your continued participation in the Program after such modifications constitutes your acceptance of the new terms.
